Annual General Meeting
The Shareholders are entitled to obtain information relating to the Company from the Board of Commissioners and/or Directors. Information is intertwined by the meeting agenda and is not against the Company’s interest. The authorities to Annual General Meeting include:
- Making amendments to the Company’s Articles of Association.
- Appointing the Board of Commissioners and Directors.
- Establishing the segregation of duties and authorities among the members of Directors.
- Providing endorsement for significant Company resolutions, mergers, liquidations, acquisitions, or spinoffs.
Through AGM, Shareholders can make resolutions to approve or decline reports from the Board of Commissioners and Directors, and to approve both the appointment of externals for the amount of remuneration and dividends.
